Terms of Service

Last updated: October 2026

These terms explain what you can expect when working with Brough Johnson and what I ask of you in return. My aim is to create a clear, respectful foundation for our work together.

1. Our work together

I offer strategic guidance and thinking partnership to help people explore challenges, see things from new perspectives, consider possibilities and work out what comes next.

The specific services, session frequency, fees and any agreed deliverables will be outlined in your proposal or other written agreement.

I aim to provide a thoughtful, supportive and appropriately challenging space for our work together, with reasonable care, skill and attention.

2. Sessions and flexibility

Unless we agree otherwise, sessions will take place online.

We will agree on a regular meeting schedule that works for both of us. Session frequency can change by mutual agreement as your needs evolve.

If either of us needs to reschedule a session, we'll communicate as early as reasonably possible and find another suitable time.

Any cancellation fees or other booking arrangements will be outlined in your proposal or confirmed separately.

3. Fees and payment

Your proposal will set out the agreed fees and payment arrangements.

Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.

Fees are stated in the currency specified in your proposal. Any applicable taxes will be identified as required.

Any additional work or expenses outside our agreed arrangement will be discussed with you and approved before they are incurred.

If a payment becomes overdue, I'll contact you to discuss it. I may pause further sessions or work until outstanding payments are resolved.

4. Between-session communication

I welcome reasonable questions and brief follow-up conversations between sessions where these help support our work together.

This isn't an unlimited or on-demand service. If a request requires substantial additional time, research or work, we'll discuss the scope and any additional fee before proceeding.

5. Ending our work together

I want our working relationship to remain useful and appropriate for both of us.

Unless your proposal specifies otherwise, either of us can end an ongoing engagement by providing two weeks' notice in writing.

We'll agree on how to handle any sessions already scheduled during the notice period and settle any outstanding fees for work undertaken or otherwise payable under our agreement.

Either of us may end the arrangement sooner if there is a serious breach of our agreement, a significant ethical concern or another circumstance that makes continuing inappropriate. Where reasonable, we'll first try to resolve the issue together.

6. Confidentiality and privacy

Our conversations may involve personal reflections, sensitive questions, professional challenges and information about other people or organisations.

I will treat non-public information you share with me as confidential and use it only as needed to support our work together.

Confidentiality does not apply where disclosure is required by law, where information is already public through no fault of mine, or where disclosure is otherwise legally permitted.

Please avoid sharing other people's confidential or sensitive personal information unless it is necessary and appropriate to do so.

7. Your decisions and responsibilities

My role is to offer perspective, ask questions, challenge assumptions, explore possibilities and support your thinking.

You remain responsible for your own decisions, actions and their consequences. I do not make decisions on your behalf or guarantee particular personal, professional or business outcomes.

My guidance is not a substitute for specialist legal, financial, medical or other professional advice where that is needed.

8. Intellectual property

The ideas, frameworks, methodologies, tools and materials I have developed independently remain mine.

You are welcome to apply the insights and ideas from our conversations in your own work.

If I create specific written materials or other deliverables for you, any ownership or usage arrangements will be set out in our proposal or a separate written agreement. Unless otherwise agreed, payment in full is required before ownership of any agreed client-owned deliverables transfers to you.

I will not share your confidential information or use your name, logo or endorsement in public materials without your permission.

9. Our working relationship

We enter into our work together as independent parties. Our arrangement does not create an employment relationship, partnership or joint venture.

I aim to work with openness, respect and integrity. If something about our work isn't serving you, I encourage you to raise it so we can discuss what might need to change.

10. Changes and resolving concerns

If a change to our arrangement is needed, we'll discuss it and confirm any material changes in writing.

If a concern or disagreement arises, we'll first make a genuine effort to resolve it through direct conversation. If we cannot resolve it that way, we can consider an appropriate independent mediation process.

These terms apply alongside any proposal or written agreement we enter into. If there is a conflict between these general terms and a specific written agreement, the specific agreement will take precedence to the extent of that conflict.

11. Questions

If you have any questions about these terms or how we might work together, please get in touch before we begin.

I'm happy to talk through anything that needs clarification.
